- Corpfin Ltd (the Licensor) hereby grants to the User of
, (the products), a non-exclusive, non-transferable licence to use the products in accordance with the terms and conditions of this Agreement.
- The Licensor shall have the right to terminate this Licence immediately upon notice to a subscribing User where the Licensor is not in receipt of all licence fees due from the User to the Licensor and in such circumstances the User is not authorised to use the products in any way. The Licensor will provide each licenced User with a Username and Password which are personal to that User and which the User must not disclose or pass on to a third party.
- The User's licence to access the products is restricted in time to the period during which the User has contracted to subscribe to the products.
- The Licensor shall ensure that Corpfin Ltd at all times functions as detailed in any marketing material made available to the User by the Licensor except where circumstances beyond the Licensor's control shall prevent the User accessing the products. Such circumstances shall include (but are not limited to) the failure of the Licensor's Internet Service Provider's computer system.
- The User shall not reproduce data of any kind contained within the products except as expressly permitted below.
- The User is authorised to obtain information contained within the products only during the period where the User's subscription to the products is fully paid up and to make permanent copies of this information provided this is obtained using only those facilities provided by the products. The User may elect to obtain this information either in printed or in electronic form (or both) and is authorised to incorporate this without further charge into any document or series of documents provided that on every occasion of use the User makes due acknowledgement that the source of the information is the products and includes the Licensor's copyright notice, subject always to the following condition: -
- The User will not use or allow to be used any information contained in the products for the purpose of incorporating this information in any directory or information retrieval system or database; where a subscribing organisation wishes to incorporate small amounts of data in its in-house database, explicit permission must be sought and will not be unreasonably withheld. The User is not entitled to provide the information contained in the products to any third party whether for gain or not where such information is not an integral part of the professional services of the User for the third party and the User is entitled only to use the information contained in the products for the purposes of providing its professional services. For the avoidance of doubt, the User is not entitled to use the information contained in the products for the purposes of providing professional services which comprise only or mainly of providing such information. Where permitted herein to use the information contained in the products the User is authorised to use limited extracts from the products and incorporate them in any written report, article or book whether for gain or not.
- While the Licensor exercises due diligence in respect of checking and confirmation information held within the products, the Licensor will not accept responsibility for data which subsequently proves to be incorrect. The User is responsible for ensuring the appropriateness of the premises which form the basis of any the products analysis on the strength of which the User intends to take commercial action.
- Subject always to paragraph 4 above the products is provided 'AS IS' without warranty of any kind either expressed or implied including but not limited to the implied warranties of merchantability or fitness for a particular purpose.
- In no event will the Licensor be liable for any indirect damages including but not limited to loss of profits, loss of service, loss of business or revenue or other incidental or consequential damages arising out of the User's use or inability to use the products or for any claim by any third party.
- The User may terminate this Licence forthwith in the event that the Licensor is in breach of any of the material terms of this Licence or becomes insolvent within the meaning of Section 247 of the Insolvency Act 1986 (England). In particular the Licensor may establish such checks as are appropriate to ensure that a Username and associated Password have not been passed on to a third party in contravention of Section 2 above.
- The User may terminate this Licence one month prior to the end of the annual contract.
